Location Scout Pro provides a platform to connect individuals and businesses seeking video shooting locations with property owners and location managers offering such locations (the "Services"). We offer a comprehensive database of locations, detailed property information, booking management tools, and related services to facilitate the location scouting process.

3. Account Registration

To access certain features of the Site and Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account password and agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. Location Scout Pro will not be liable for any loss or damage arising from your failure to comply with these requirements.

4. Acceptable Use Policy

You agree to use the Site and Services in compliance with all applicable laws and regulations and in a manner that does not infringe upon the rights of others. You shall not:

5. Location Listings and Bookings

Location Scout Pro acts as a facilitator for connecting location seekers and location providers. We do not own, operate, manage, or control any of the locations listed on our Site. The terms and conditions of any location booking are solely between the location seeker and the location provider. Location Scout Pro is not responsible for any disputes, damages, or losses arising from location bookings.

Location providers are responsible for ensuring that their location listings are accurate, complete, and not misleading. Location seekers are responsible for carefully reviewing location listings and communicating directly with location providers to clarify any questions or concerns before making a booking.

6. Fees and Payment

The use of certain features of the Site and Services may be subject to fees. You agree to pay all applicable fees as described on the Site. Location Scout Pro may change its fees at any time upon notice to you. All fees are non-refundable, except as expressly provided in these Terms or as required by applicable law.

Payment processing services are provided by third-party providers. You agree to comply with the terms and conditions of such providers. Location Scout Pro is not responsible for any errors or delays in payment processing.

7. Intellectual Property Rights

The Site and Services, including all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Location Scout Pro, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your personal or internal business use. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.

Our total liability to you for any claim arising out of or relating to these Terms or the Site or Services shall not exceed the amount you paid to Location Scout Pro, if any, in the twelve (12) months preceding the date of the claim.

You agree to defend, indemnify, and hold harmless Location Scout Pro, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or Services, including, but not limited to, your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California for the resolution of any disputes arising out of or relating to these Terms or the Site or Services.

15. Entire Agreement

These Terms constitute the entire agreement between you and Location Scout Pro relating to the Site and Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Location Scout Pro with respect to the Site and Services.

16. Waiver

No waiver by Location Scout Pro of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Location Scout Pro to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
